Terms of Service
1. Service Description
ColPort Mill is an AI-powered platform for creating SCORM-compliant e-learning courses. We provide content generation, translation, audio narration, and image generation services.
2. Account Registration
You must provide accurate information during registration. You are responsible for maintaining the confidentiality of your account credentials. Each account is for a single user unless on a Team plan.
3. Subscription & Billing
- The Free tier includes 130 credits to try every feature — no card required, no time limit
- Payment is processed by Stripe
- Subscriptions renew automatically unless cancelled
- Credits do not roll over between billing periods
- Refunds are handled on a case-by-case basis
4. Content Ownership
You retain full ownership of courses you create using Mill. AI-generated content, translations, audio, and images created through the platform belong to you. We do not claim any rights over your course content.
5. Acceptable Use
You agree not to:
- Create courses containing illegal, harmful, or discriminatory content
- Attempt to bypass credit limits or rate restrictions
- Share account credentials with unauthorized users
- Reverse-engineer or scrape the platform
- Use the service to generate spam or misleading content
6. AI-Generated Content Disclaimer
Content generated by AI may contain inaccuracies. You are responsible for reviewing and verifying all generated content before distributing it to learners. ColPort does not guarantee the accuracy of AI-generated content.
7. Service Availability and SLA
We strive for 99.9% monthly uptime measured at the application layer, excluding scheduled maintenance (announced at least 48 hours in advance), force majeure events, and disruptions originating with third-party providers (Stripe, Anthropic, Google Cloud, Hetzner). For paid plans (Mill Standard, Mill Pro, Team Starter, Team Standard, Team Pro) we offer the following service-level credits, applied to the customer's next invoice on written request within 30 days of the affected billing period:
- 99.5%–99.9% monthly uptime: 5% credit refund
- 99.0%–99.5% monthly uptime: 10% credit refund
- Below 99.0% monthly uptime: 25% credit refund
The Free and Mill Starter tiers operate on a best-effort basis without service-level credits. Enterprise customers receive a custom SLA negotiated separately and reflected in their order form. SLA credits are the sole remedy for availability issues; we do not refund consequential damages.
8. Limitation of Liability
To the maximum extent permitted by law, ColPort's liability is limited to the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Data Protection
We comply with the EU General Data Protection Regulation (GDPR) and process all personal data in accordance with our Privacy Policy. Data is hosted within the EU (Frankfurt, Germany) on certified infrastructure providers. Customers may request a copy of our security and compliance documentation at legal@colport.io.
9.1 Data Processing Addendum (GDPR Article 28)
For business customers processing personal data of EU/EEA learners through Mill, our Data Processing Addendum (DPA) is available on request at legal@colport.io. The DPA covers our processor obligations, the current sub-processor list (Anthropic, Google Cloud, Hetzner, Stripe), data transfers under Standard Contractual Clauses, technical and organisational security measures, breach notification within 72 hours, and audit rights. Customers signing a DPA become controllers; Mill operates as the processor.
9.2 Data Retention
- Account data (name, email, organization): retained while your account is active; deleted within 30 days of account termination unless legal obligations require longer retention.
- Course content (topics, generated courses, audio narration, images): retained while your account is active; archived for 30 days post-termination, then permanently deleted from production and backups.
- Usage logs (login timestamps, credit consumption, course-generation events): retained for 13 months for billing reconciliation and abuse detection.
- Payment records: retained for 7 years per Dutch accounting requirements (Burgerlijk Wetboek Boek 2, art. 10:2).
- Backups: encrypted snapshots retained on EU-hosted infrastructure (Hetzner, Falkenstein DE) for 30 days before automatic purging.
Data subjects can exercise GDPR rights (access, rectification, erasure, portability, restriction, objection) at privacy@colport.io. We respond within 30 days as required by Article 12(3).
10. Termination
You may cancel your subscription at any time. We may terminate accounts that violate these terms. Upon termination, your data will be retained for 30 days before permanent deletion.
11. Changes to Terms
We may update these terms with 30 days' notice via email. Continued use after the notice period constitutes acceptance of the updated terms.
12. Governing Law
These terms are governed by the laws of the Netherlands. Disputes shall be resolved in the courts of Amsterdam.
